You get sick reading the whole Non-solicitation clause and it goes to what so many have said here before...Kinross just out negotiated " Our Team"..... below are jus the first two parts...I suggest if you are a concerned ARU investor you take the time to read this whole offer....

ARTICLE 7
NON-SOLICITATION
7.1 Non-Solicitation
(a) On and after the date of this Agreement, except as otherwise provided in this
Agreement, the Company and its Subsidiaries shall not, directly or indirectly,
through any officer, director, employee, advisor, representative, agent or
otherwise:
(i) make, solicit, assist, initiate, encourage or otherwise facilitate any
inquiries, proposals or offers from any other Person (including any of its
officers or employees) relating to any liquidation, dissolution,
recapitalization, merger, amalgamation, arrangement, acquisition or
purchase of all or a material portion of the assets of, or any material equity
interest (including Common Shares) in, the Company on a consolidated
basis or other similar transaction or business combination (any of such
foregoing inquiries or proposals being referred to herein as an
“Acquisition Proposal”);
(ii) engage in any discussions or negotiations regarding, or provide any
information with respect to, or otherwise co-operate in any way with, or
assist or participate in, facilitate or encourage, any effort or attempt by any
other Person to make or complete any Acquisition Proposal, provided that,
for greater certainty, the Company may advise any Person making an
unsolicited Acquisition Proposal that such Acquisition Proposal does not
constitute a Superior Proposal when the Board of Directors has so
determined;
(iii) withdraw, modify or qualify, or propose publicly to withdraw,
