I believe the 90% refers to if K gets 90% of the shares they can force the remaining shares to convert over to the deal.

I believe they require 66 2/3% to win the bid.

I share = 1 vote

so management have 2.74 million shares/votes

I understand options (8.9 million) cannot be voted
