BINOVI ANNOUNCES A DIRECTOR RESIGNATION AND APPOINTMENT OF NEW DIRECTOR, USAMA CHAUDHRY

Effective Jan. 27, 2022, Terry Booth has resigned as chairman of Binovi Technologies Corp.'s board and a director of the company.

Mr. Booth has been the company's chairman and a director since May 21, 2020, and in that time, has provided significant value that has materially contributed to the strategic direction, growth and success of the company.

The company extends its sincere gratitude to Mr. Booth for his service and contributions he has made to the company.

Also effective Jan. 27, 2022, the company has appointed Usama Chaudhry as an independent member to the company's board.

Mr. Chaudhry is an experienced businessman who sits on a number of public company boards and specializes in executive management services, including corporate development, investor relations, financial reporting, company filings, budgeting and overseeing corporate governance, while achieving company objectives and maintaining internal cost controls. Mr. Chaudhry holds a bachelors of commerce with a major in accounting from the University of Northern British Columbia.

The company would like to extend a welcome to Mr. Chaudhry to the board.
