Item 2. Unregistered Sales of Equity Securities and Use of Proceeds.

"On May 30, 2017, we issued 75,000 share of our common stock to Ms. Kim Davis of Var Growth, Inc. for marketing consultation services as per contract terms, valued at $52,500."
