If one assumes that negotiations take time to hammer out, IMO .90 would have been considered a premium and fair price at the time negotiations started..SP goes up and down like yoyos so I'd assume current SP wasn't the only factor when price was settled on..Example what were the moving averages etc.

So the real question to be asked, and apparently it was answered is,considering all the technical analysis information available to the parties involved, what would fairest and most accurate price be for all those involved.
