Yes there was a Shareholder Rights plan implemented in May 2007. Understanding the plan is the hard part. From what I've read -- in summary -- shares purchased before announcement of takeover intent are entitled to rights worth $100 per share, which sounds too good to be true, therefore must be wrong. There's lots of legalese within the document so any making decisions based on the plan would need to obtain a much better understanding of what the plan really says.
