1. Election of Directors

2. Re-Appointment of Auditors

3. Approval of 2009 Omnibus Share Compensation Plan (pg 19, has to be approved each year for TSX Venture Exchange, details are on page 11 under Securities Authorized for Issuance Under Equity Compensation Plan

4. Approval and Confirmation of the Corporation's Shareholder Rights Plan Agreement

The booklet also tells you what the Directors would like you to vote for.
