I agree with your thinking on this in general

curious about the 2/3 majority requirement

where did this come from, or is this simply part of your speculation

I had always assumed 50% would be required and therefore it would be Ernestos individual call

2/3 does make a substantial difference, but probably not prohibitive, as long as EE is on board
