Here's supporting paragraphs of Option Agreement:

12.1 Except in accordance with this section and subject to Tech Cominco committing the whole of the Property (or any portion thereof) on Salazar's behalf as security for required financing pursuat to Section 8.3(c), Salazar shall not transfer, convey, assign, mortgage or grant an option in the Property of its rights under this Agreement. If Salazar wishes to sell its interest in the Property or to assign its rights under his Agreement, Tech Cominco shall have the right of first refusal, which shall expire if the Back-in Right expires without being exercised.

12.2 Salazar may assign it's entire interest and rights to this Agreement to a private company in which Salazar is the majority shareholder, or a publicly traded company of which Salazar is a shareholder and insider, free of Teck Cominco's right of first refusal under Section 12.1, provided that the company delivers, in a form acceptable to Teck Cominco, a document whereby it agrees to be bound by and comply with, the terms of this Agreement.
