Cuu selling SC would mean capital gains tax for the company and less would be available for the shareholders whereas Teck or whoever buying up cuu shares either with cash or Teck shares or a combination (and acquires indirectly, SC and all the other company assets) would mean a bigger payout immediately for the shareholders and more flexibility in tax planning. The latter would be preferential for most shareholders and EE.

The tax planning aspect must be one of the key issues in the negotiation. JMO GLTA!
