Return of capital or paid-up capital are Canadian income tax concepts and the IRS may not acknowlege them.

I do know that a dividend from the capital dividend account (CDA) of a private corporation is still taxable in USA although tax-free here. (A capital dividend account holds the 50% of corporate capital gains and 100% of corporate life insurance proceeds).
