Message: Worst Case Scenario

Tck's shares have traded between $17.50- $31.25 and currently sits at around $18.00.

We know it is their goal #1 to sell. They agreed to this JV allowing Tck to prove up the value so as to satisfy a take out price that EE and ES would accept as fair value. If Tck was considering using their stock instead of hard currency to take us out, then now might be a good time.

Eaxample: if Tck was trading in the middle of their price range around $24.50 and offered 10 to 1 = $2.45 a share which might be too expensive and holding this deal up. Tck now at $18.00 would be about a 25% discount at the same 10-1 =$1.80 a share, maybe something they can digest and EE can accept. The tax effeciency to this would be icing on the cake and allow better tax planning for all especially EE and all insiders.

Of couse other multiples would apply say 8 to 1 or whateve,r but still 25% cheaper today and wrap this up now.

The timming and Tcks low share price might be just the catalist both parties need to make a deal. Tck now owns 100% and can now move forward. They will do their own REAL FS, divulge all the info on all our other zones [Mining District] and the behind the scene news that we were not divulged to secure a partner [maybe already waiting] for all the cash needed for this project.

IMO: Just some thoughts while we wait.
