When selling a project, or the whole company the two parties agree on a sale price based on the value of the project / company and once that price is reached, then the premium to the SP is calculated. That is why current SP is not part of any negotiations and it does not matter. The two parties never negotiate an arbitrary premium on SP and then calculate the value based on the premium.

The buyer and seller first agree on the value of the transaction then the SP premium is calculated from that; not the other way around.

Can't believe some people are having a hard time grasping easy concepts!
