Could these two individuals (Kerimov and Prokhorov) create a company that is entirely private who's sole assets consists of the that of one company... KRY?

They are big players and they don't need Polyus to do their work. Heck... after the ink dries and the dust settles, maybe they sell their "private holdings" as a single package to Polyus.
