The Noteholders have filed an appeal which is scheduled to be heard on April 26, 2010. Although Crystallex is of

the opinion that the court’s decision will be upheld, there can be no assurance that the appeal will be resolved in

favour of the Company and an unfavourable outcome of this appeal may have a material adverse impact on the

Company’s financial condition.
