I'm afraid that we've gotten into bed with an elephant. The big/only downside I see here is that CRRC will have absolutely no regard for KRY's shareholders, nor, frankly for anyone else for that matter. They are the paradigm of self-interest, IMO. They will do exactly what is required of them by agreement, first, and, to a lesser extent, exactly what is required by the laws of Vennie - nothing more.
