After no_bear posted just how involved this JV agreement is to finish, I was looking over the Primary JV Agreement again, and came away realizing that we are not awaiting just one agreement, but in fact several agreements that will make up "The Definitive Agreement".
This 'Agreement' is composed of
1. The Acquisition and Funding Agreement
2. The Joint Venture Agreement
3.The Repayment Agrement
4 The Construction Guarantee Agreement
5 The Voting Rights Agreement
6 The Equity Participation Agreement
7 And any more that are made up by the lawyers.
All of this makes up the 'Definitive Agreement'.
The first of these agreements, the A&F Agreement, is the one that has all the conditions attached, such as the permit signed by all pertinent levels of the Venezuelan government and CVG, the VZ government and CVG's approval of the transfer of the MOC to new JV, the necessary approvals of ALL governments and institutions and companies involved in any way, the approval of KRY shareholders, and the receipt of the updated Cost Report.
In other words, besides the lengthly prerequisites to satisfied just to get the "Acquisitions and Funding Agreement signed, we have the other 5 agreements that have to be agreed upon and signed, by at least 3 countries.
No wonder it's taking so long. After all of that, then there's 'The Closing'!!!...........OMG.....I wonder what's involved with that...???? lol
