I thought that I made it clear that I based my post on my recollection of no_bear's answer, especially the first sentence which had stuck in my mind. He does then say that he thinks that social spending will be included and on that point I was wrong.
There seems to be a lot of confusion about this very critical point. I have seen very clear wording used in other JV deals. Wording like "xxx co.will be fully reimbursed for all expenses incurred to date" or "in the event that xxx co. opts to exercise its option to purchase such and such percentage of yyy co. then yyy co. will be reimbursed an amount equal to 4 times all expenses incurred to date".
I do not think that the wording in our case makes it at all clear that we will be reimbursed for all expenses incurred prior to the signing of the deal. There would be no need to separately mention reimbursement for plant and equipment if we were to be reimbursed for all prior investment. I think we need detailed clarification on this point before thinking that we will get anything for engineering and/or social projects.
