What's the opinion on the new 3 million share stock option plan

We have to vote on it for the AGM. Seems to me that management and the directors have made millions,collectively, in salary and benefits through the years while shareholders have lost millions, collectively, through the years due to management telling us all is well. I'm inclined to vote NO on it. What do you think?
