Bankruptcy as explained to me

I recently discussed KRY's situation with a retired Canadian Ontario Superior Court Judge. After listening to the facts as I know them, without hesitation he said: Go for Bankrupcy.

I'd like to know, if this ridiculous Private Placement doesn't close on or before December 23rd, does KRY still have the right to file for Bankruptcy?

Compared to Bakruptcy benefits, the Private Placement IMO, appears to give away much more than is necessary.

Does anyone else have similar ideas?
