(23) “Exercise Price” shall mean, as of any date from and after the Separation Time, the price
at which a Holder may purchase the securities issuable upon exercise of one whole Right which,
subject to adjustment in accordance with the terms hereof, shall be an amount equal to five times
the Market Price per Common Share determined as at the Separation Time;
