The most important statement in the document is to tie Management compensation to the increase in shareholder value. As the affidavit points out there are a number of compensation avenues available to them - options, etc.
We must insure that if they make any decision that negatively impacts shareholder value, then they are effectively hurting their own financial interest.
If we cannot get management to agree to this, then we really do not need them - as we can already predict they will screw us even more by the end of the process.
They get paid - if, and only if, the shareholder gets paid.
