If Canada's Minister of Health removes the requirement for covid 19 testing of travelers, I would have to agree that the 14 months of negotiations with Ceres was a wasted effort that will be of no value.
What concerrns me though is the fact that Sun Valley clinics still have not closed. The Letter of intent announced on October 28, 2021 stated and I quote:"Negotiations continue with Andrea Klein and Dustin Klein (together the "Kleins") regarding the 100% sale of Sun Valley Certification Holdings, LLC and all subsidiaries thereof (together "Sun Valley"). The terms of the previously announced non-binding term sheet have been updated in the form of a new Letter of Intent ("LOI") to proceed to a definitive agreement within 30 days. Under the new terms, it is proposed that Sun Valley will be acquired in exchange for 1,000,000 shares of Empower and payment of the balance of prepaid rent for one of the clinic locations in Mesa, AZ.
Well, we have passed the 30 day deadline a few times already. Remember this is the second attempt to close the deal with the Kleins.by signing a non-binding term sheet on July 21, 2021 as the top line of the news release stated:"Exclusive non-binding term sheet signed to allow Empower to fully divest of its cannabis businesses"
I don't know why this sale is not happening but questions do arise :
Is there bad blood between the Kleins and Steven McAuley because of the way Mr. Klein was removed or resigned whether voluntarily or not?
If that is the case, I can't see how this sale to the Kleins can be accomplished.
Since Steven McAuley intends to eventually open health clinics in the US, could it be worthwhile transforming the Sun Valley clinic to a health Clinic? Is the clinic large enough to make it feasible? Anyway, the price the Kleins were to pay was not very much. Certainly much lower than what Empower paid for those clinics to the Kleins.
