Here is the response I recieved. I'm sure that anyone else who filed a complaint will receice the same. What is important is taht anyone who is oppossed with this merger MUST also file a complaint. One person filing a complaint ( and I know there are many) does not carry any weight, Safety in numbers.
Thank you for contacting the British Columbia Securities Commission (BCSC). We have received a forwarded copy of your correspondence from the Ontario Securities Commission (OSC).
As outlined in the information provided by the OSC, regulations regarding mergers and acquisitions are governed by the relevant Business Corporations Act as well as the Securities Act. We are unable to pursue rights and remedies for shareholders that are contained within the >BC Business Corporations Act.
The BCSC has the authority to review complaints related to violations of the Securities Act, and related instruments, by issuers we are the principal regulator of.
>National Instrument 62-104 >Take-Over Bids and Issuer Bids describes the requirements for the process and disclosure of both the Offeror and the Offeree.
Throughout the take-over process, Century Mining Corp. (Century) must also ensure it continues to satisfy its disclosure requirements under >Continuious Disclosure Obligations. If an individual feels that Century has filed false or misleading disclosure documents, they can submit a complaint to the BCSC, and request a review of the relevant disclosure.
The BCSC and its regulatory partners, such as Investment Industry Regulatory Organization of Canada (IIROC) and the TSX Venture Exchange (TSX-V) regularly conduct reviews of trading patterns to ensure that market participants and insiders are not conducting trades which manipulate the marketplace. If you feel that there have been unusual trading patterns in Century securities that have not been identified by regulators, please provide the details to our office for review.
