The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Feb. 1, 2008.

Number of shares: 1.7 million shares

Purchase price: $2.06 per share

Warrants: 1,275,000 share purchase warrants to purchase 1,275,000 shares

Warrant exercise price: $2.50 for a two-year period
