Pursuant to a resolution passed by shareholders on June 25, 2015, the company has changed its name as follows. There is no consolidation of capital.

Effective at the opening, Tuesday, June 30, 2015, the common shares of Newcastle Gold Ltd. will commence trading on the TSX Venture Exchange and the common shares of Castle Mountain Mining Company Ltd. will be delisted. The company is classified as a gold mining company.

Capitalization: Unlimited shares with no par value, of which 71,891,418 shares are issued and outstanding
