The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced April 11, 2017, and April 20, 2017.

Number of shares:  7.24 million shares

Purchase price:  50 cents per share

Warrants:  7.24 million share purchase warrants to purchase 7.24 million shares

Warrant exercise price:  $1 for a two-year period

Number of placees:  33 placees

Total pro group involvement:  860,000 (four placees)

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
