The stock would show up in the account of the buyer, just like a normal buy, and the money would exchange hands to the seller. But the seller just creates the stock out of thin air, "phantom shares". Since most never take delivery anymore, and the seller has no intention of covering by buying the stock, there is a bloated phantom float.
