Like U or I, these execs don't always have a huge amount of cash lying around, so if they want to exercise a huge pile of options before they expire, they need to get cash. What do they do? They would have to borrow money...then exercise the options...then sell some of the shares to pay back the money they borrowed.

That is one reason why U might see an exec selling shares...just to exercise some or most of his options.
