Hmmm Delaware... I didn't see that point! That is a well known 'onshore' tax haven in the US and one of the reasons that Swiss banks don't like the US pointing fingers at their offshore practices. 50% of US corporations are 'based' there with tin plate headquarters.

On Delaware - firstly:

"Pursuant to the "internal affairs doctrine" rule, corporations which act in more than one state are subject only to the laws of their state of incorporation with regard to the regulation of the internal affairs of the corporation.[4] As a result, Delaware corporations are subject almost exclusively to Delaware law, even when they do business in other states. Among other reasons, this contributes to Delaware's attractiveness as a state of incorporation.[5]"

Secondly on taxes:

Delaware charges no income tax on corporations not operating within the state, so taking advantage of Delaware's other benefits does not result in an income tax cost. In general, the state is viewed as a positive location for corporate tax purposes because favorable laws of incorporation allow companies to minimize the corporate expenditures (achieved through legal standardization of corporate legal processes), creating a nucleus in Delaware with operating companies often in other states.

I may be wrong, but strictly from a tax perspective Delaware is probably more favorable then the Canada.

The bad part is, that as the stock would now be a US stock, my documentation requirements will increase pretty heavily as US based stocks require all sorts of papers to be signed when living here in Switzerland (as far as I remember) I'll have to check... :(
