FYI There are 5 board members for ISM. Two are not independant and three are independant.

Newman, Padham, and Brugh are the independants with Newman being the lead director.

Miller and Davis are employed by the Corporation in the capacity of executive officers.

Currently there is no Chairman and are currently developing a written position description for CEO......factoids from pages A-1 and A-2 Schedule A of the circular we were all just sent.
