Pursuant to the terms of the Jasper Purchase

Agreement, the Corporation issued an aggregate of 13,367,904 Inspiration Special Warrants to Inspiration and in

return Inspiration agreed to transfer title to the Jasper Property to the Corporation on the Closing Date. The Jasper

Property shall be assigned a value of $2,063,208 once the Purchaser completes the Offering (for details regarding

the valuation of the Inspiration Special Warrants, see the financial statements of the Corporation and notes thereto
