Units") at a price of $0.40 per Unit and 3,333,334 Flow Through Common Shares (the "FlowThrough Shares") at a price of $0.60 per Flow Through Share of Nitinat Minerals Corporation ("Nitinat" or the"Corporation") are being offered (the "Offering"), on a best efforts basis, pursuant to an agency agreement between the Corporation and First Canada Capital Partners Inc. (the "Agent"), dated April 28, 2009 (the "Agency Agreement"). Each Unit is comprised of one (1) common share ("Common Share") and one-half (½) of one transferable Series A Common Share Purchase Warrant (each whole transferable Series A Common Share Purchase Warrant, a "Series A Warrant"), each whole Series A Warrant is exercisable into one (1) Common Share at $0.60 per Common Share for a period of one (1) year from the Closing Date. The offering price of the Units and Flow Through Shares was determined by negotiation between the Corporation and the Agent.
