Nitinat is the third party as I see it. The underwriters and the public were additional parties. ISM gave an open ended option, and had no control.

With MM the only entities involved appear to be ISM and it's shareholders. The public will not be involved, until individual ISM shareholders sell to the public. ISM will not be raising money from the public as I see it. Therefore, no need for underwriters.
