Will Metal Mines Owe $450,000 To Sea Emerald If It Trades On The TSX?

I came across this article that outlines how Metal Mines owes Sea Emerald $450,000 ($150,000 immediately, and $150,000/year for 2 years) if Metal Mines trades on the TSX Venture. Does anyone know if this is still true?
