Warrants: 9,333,516 share purchase warrants to purchase 9,333,516 shares

Warrant exercise price: 17 cents for a one-year period, subject to an acceleration clause

Number of placees: 20 placees

Insiders: Mike Edwards, two million; Derek Lew, two million; Natgar Capital Corp. (Jeff Durno), 1.2 million; 0792667 B.C. Ltd. (Kevin Rathbun), 322,916; Kevin Rathbun, 128,000

Total pro group involvement: 1,667,700 (one placee)

Finders' fees: Axemen Resource Capital Ltd., $9,003.75 cash and 114,333 warrants payable; Foremost Capital Corp., $10,500 cash and 140,000 warrants payable; PI Financial, $1,942.50 cash and 25,900 warrants payable; Canaccord Genuity Corp., $525 and 7,000 warrants payable (Each warrant is exercisable into one share at 17 cents for 12 months from closing.)
