I bought in at $.41 not long ago.  It is not only possible but probable this deal was done as management says.   Give it up.  You are not helping the "little guy" invested here by your continual shots at management.  If anything you are bashing the stock.  I would be very surprised if your comments were not backed up with short sales of this fine company.
