* On August 03, 2012, entered into a stipulation of settlement that will

resolve certain derivative actions

* Current,prior employees named as individual defendants in derivative action

also entered into stipulation of settlement

* By entering into settlement, defendants do not admit fault or liability,

continue to deny all allegations of wrongdoing
