A mentor of mine once told me that if you weren't being sued you hadn't really found anything worthwhile. With so many deals being done in the bush, a bar, by phone, amongst friends, amongst people that don't even know each other, etc etc the stories of lawsuits is endless. In regard to big deals, big money, JD is correct. It tends to bring out the worst in people, and attract the parasites with frivolous lawsuits. Hopefully the integrity of people involved in the ROF companies doesn't lead in that direction and that JVs and LOIs are honoured.
