Sorry, but I must humbly disagree. While I am not an expert on SEC filings I did a little research to see what I could find regarding the use of an SB2 and what exactly some of the info meant. My conclusion was that while the titles in the table you posted suggest that a Seller is going to Sell a certain amount of stock, that title is a little misleading. I believe it is actually reflective of the amount of shares they are registering at that time to ALLOW them to sell those shares. How did I come to this conclusion? Admittedly it`s a little indirect (I wish I could just call someone up, but noone`s working today, anyway) but I don`t see how you can argue with my conclusion.
On January 31, 2005 PTSC filed an SB2 registering certain stock. Under the title Shares Offered For Sale there lists a total of 47,832,555 shares. Under your assumption that all of these shares are intended to be sold by the listed Sellers I think it is reasonable to assume that you would see daily volume in PTSC to somehow reflect this. Well total volume for PTSC, which we all know includes both buys and sells, for the period of February 2005 thru January 2006 was 42,949,805. So TOTAL volume didn`t even cover these ``shares to be sold`` over a 12 month period. Obviously, not all of the shares in the 1/31/05 SB2 were sold. Factor in the volume is both buy and sell, and nowhere near the amount of shares registered was sold.
