Actually, I think you've got it. Our shareholder rep is on PTSC's Advisory Board. As such, he has visibility of inside information, because without it, he would be unable to provide any useful advice. Prior to his receipt of any "inside info", he was undoubtedly required to sign a Non-Disclosure Agreement (NDA). That agreement advises him that he will be provided sensitive company information which he may NOT disclose or use for personal gain without suffering very negative consequences (I spelled it right that time! LOL). This is how business is done. Companies inherently have information that they desire to keep private for a variety of good reasons. All employees at most corporations sign NDAs (you probably have at some point in your career, usually done during New Hire Orientation). All customers of these corporations may be required to provide executed NDAs (especially if they received detailed cost or pricing data that is not openly available to the public). Sometimes, even suppliers are required to provide executed NDAs so that the company's competition doesn't become aware of what and how many widgets are being supplied (because these data could be extrapolated to determine the company's work volume, etc.). Inside information is completely legal. Unauthorized disclosure is grounds for immediate termination (at minimum). Use of that information for personal gain is illegal.
