To All Friends of Patriot Scientific Corporation-
I'd like to welcome you all and express my thanks to those who've welcomed me. I'd like this letter to become a semi-regular communication to you, our shareholders, partners, and interested parties. I'm aiming for once a month, but please don't lose sleep if subsequent letters don't arrive exactly on schedule.
Because Patriot is a publicly held company there are certain things I won't be able to discuss in these open letters. I'm sure you all understand. I don't like withholding information, but I'm also constrained by federal law, SEC rules, business concerns, and good common sense from sharing absolutely everything that goes on here. I'll be as forthright as I can be.
- First off, I'd like to salute David Pohl, my predecessor here at Patriot. When the company was struggling and in dire straits David resurrected it and put it back on track with the help and support of the company's board of directors. Even more, David abolished all of the company's debt, established a share-buyback plan, oversaw the first dividends paid by our company, and it was under his watch that we've seen our technology flourish and built up our healthy cash reserves. Well done, David, and congratulations.
- As for myself, I'm jumping in with both feet. Although I haven't previously been CEO of a public corporation, how many of us can say that we have? I have the knowledge, experience, and industry connections to lead the company forward. I served as senior vice president in charge of both marketing and technology strategy at ARC International (LSE:ARK), a microprocessor IP company very similar to Patriot. (Note that I've never worked for ARM Holdings, a different British company with a similar name and product focus.) ARC was private when I joined. I opened the company's first U.S. office and hired all of its sales, marketing, and engineering staff. In the span of just a few months I helped coordinate three acquisitions that doubled the size of our company and broadened our product line. A few months later we took the combined company public on the London Stock Exchange, raising $250 million for our investors and shareholders.
- Many well-wishers have asked if I'll be moving permanently to the San Diego area. Of course. Patriot's headquarters are located in Carlsbad and I'm already making arrangements to move my family here.
- Concurrent with that, I'm winding down my consulting and analysis business, Silicon Insider. I've discharged my remaining commitments to clients and I won't be accepting any further engagements. I've enjoyed running the business and I'm very thankful to my clients, but my attention lies with Patriot now.
- Our company has many thousands of shareholders, some bigger than others. Sometimes there's a tendency for smaller shareholders to suspect the larger ones of exerting a bit too much influence. I think some folks are just bound to see conspiracy and intrigue behind every shadow, and there's nothing I can do about that. Let me just say that I've never come under any pressure from any of our shareholders, large or small. This company is not run by committee, nor is there any secret cabal that guides our decisions. I serve at the pleasure of Patriot's board of directors and none other. All the decisions come from this office.
- On a related note, I'm sure many of you have great ideas or would like some private discussions with me or with members of our board of directors. While I appreciate your interest and enthusiasm, I simply don't have time. Besides, there isn't anything I could tell you privately that I can't say here. It's not fair - or legal - to share information with one investor without simultaneously sharing it with everyone. Feel free to call, write, or send e-mail. Just don't expect a response. Ken AuYeung and Frank Hawkins at Hawk Associates will continue to take your calls and answer your e-mails and be as helpful to you as possible.
- Now that I'm no longer just a board member, I've begun recruiting one or two new members to join our board of directors and expand our expertise. It's likely that at least one of these new members will have a good technical background.
- We're very busy here at Patriot Scientific, working to grow the company and increase shareholder value. Though there may be occasional quiet periods where nothing appears to be happening from the outside, rest assured there's plenty of activity inside. I'll be happy to share our progress when I can, and beg your patience during those times that I can't. Best wishes to everyone associated with Patriot Scientific.
-Jim Turley
