Please be aware that most companies file 8-Ks after news (PR) is announced to the public.

This is for teh simple reason that lack of public disclosure can be more of a problem than sec filing since sec filings generally allow for time delays.

as for the disclaimers, I have yet to come across a news event in an 8-k published by a small cap that does not include similar disclaimers.

The 8-k  has little to do with anything other than protocol.
