SHAREHOLDER PROPOSALS AND COMMUNICATIONS
 
  Under certain circumstances, stockholders are entitled to have the Companyinclude stockholder proposals in its proxy statement for presentment at ameeting of stockholders. The Company intends to hold its next annual meeting ofstockholders in October 2007. Stockholders who desire to have their proposalincluded on the Company's proxy card and included in its proxy statement for thenext annual meeting of stockholders must submit such proposals to the Company nolater than August 1, 2007. Proposals received by the Company after such datewill be considered untimely. Stockholder proposals should be directed to theattention of the Corporate Secretary, addressed as follows: Patriot ScientificCorporation, Mr. Thomas J. Sweeney, Corporate Secretary, 6183 Paseo Del Norte,Suite 180, Carlsbad, CA 92011. The submission of a proposal does not guaranteethat it will be included in the proxy statement or proxy. Shareholder proposalsare subject to certain regulations and requirements under the federal securitieslaws.  Stockholders who intend to submit proposals to the stockholders at the nextannual meeting of stockholders but intend to submit such proposals on their own,either from the floor or through their own proxy statement and proxy, must, inorder for such matters to be voted upon by the stockholders, give notice of suchto the Company by August 15, 2007. The persons named as proxies for the nextannual meeting of stockholders will have discretionary authority to vote on anystockholder proposal not included in the Company's proxy materials for themeeting, unless the Company receives notice of the proposal by August 15, 2007.If proper notice is received by that date, the proxy holders will not havediscretionary voting authority except as provided in federal regulationsgoverning stockholder proposals.  The Company encourages stockholders to communicate with members of the Board.Shareholders wishing to communicate with directors may send correspondenceaddressed as follows: Patriot Scientific Corporation,
