2 possible reasons for Dave to exercise. 

1. Stock Options are generally ordinary income and not long term capital gains. When you exercise options the difference betwen market and strike is included on your w2 as orinary income taxable at the highest rate.

by exercising today big dave can pay taxes on the 31 cent gain or about 10 cents per share and then be able to hold for a year and sell for a long term capital gain. 

2.  Perhaps big Dave's severance does not allow him to maintain employee options for longer than a limited time post his initial period of severance  ( I have not seen the separation agrrement so this might just not be correct)  he therefore needs to exercise or lose his options when time runs out.

The first therefore is bullish, the second is a non-event provided big dave does not become datardly dave and dump the paper on the market.
