All they have to do is make a "fair" offer for PTSC's 50% holding in PDS.
For all who attended the ASM, TPL were kind enough to show the predicted value of 2nd, 3rd, 4th, and 5th tier licenses, with an overall MMP Portfolio value. Take 50% of that total and reduce by 20% to 25%(for cash up front)and one has a "fair" value as determined by the potential purchaser.
PTSC would still remain licensed to use the MMP Portfolio, but not license it, TPL would have total control of that and their other patents, and PTSC could move forward with a 10 figure cash pile.
TPL does need the baggage of PTSC, in my humble opinion.
