Unless TPL agrees, they are buying nothing. Why would TPL want Scwartz as a partner verses a public company. What would they gain. Litigation from stock holders,,,,I don't think that would overule any other advantages. I am sure SEC investigations would follow, again more headaches. I wouldn't do it if I were TPL...would you?
