You're not making any sense, if you think about it.

"....any decision made to buy/sell/hold based on insider knowledge would not be legal."

Hold? What are they supposed to do, relinquish their shares somehow? And what if they traded in the inverse of what the inside info would suggest?

The law is that they cannot act, after getting the info, to personally benefit based on that info.
