Only one point I may add/critize:

"b) to find a business developer, who supports the existing M/A negotiations and who will help to build up the internal infrastructure, which is necessary, to handle the operating business from that planned acquisition"

"Business development" in my business understanding is NOT responsible for building up internal infrastructure - "BD" is a total strategic position within a company. These are the guys, who are NOT involved in daily business, but constantly thinking about, where additional future daily business could be or how today's daily business has to change etc..
