Prosecutors say the fee, paid to Frank Walsh for helping to arrange Tyco's 2001 purchase of the CIT Group, was not authorized by the board and amounted to theft, one of 13 larceny counts against Mr. Kozlowski and his co-defendant Mark H. Swartz, Tyco's former finance chief. The two men are facing the charges in a New York state court for a second time after a mistrial in April.
